**Vendor Terms & Conditions** **Effective Date:** April 16, 2026 **Last Updated:** April 16, 2026 Welcome to **Flowzap** ("Company," "we," "our," or "us"). By registering or participating as a **Vendor, Reseller, Partner, or White-Label Provider** on our platform and using our services including WhatsApp Business API, automation tools, CRM, chatbot builder, and related offerings (collectively, the "Services"), you ("Vendor," "Partner," "Reseller") agree to these Terms & Conditions. If you do not agree, please discontinue use of our Services immediately. --- ## **1. Eligibility** * You must be at least 18 years old * You must have legal authority to operate as a vendor/reseller * You agree to comply with all applicable laws and Meta platform policies --- ## **2. Services Provided** Flowzap provides Vendors access to: * WhatsApp, Facebook, and Instagram API systems * SaaS panel / White-label solutions * CRM & automation tools * Reseller & sub-user management system * Marketing and campaign tools * Technical support and onboarding assistance We reserve the right to modify or discontinue services at any time. --- ## **3. Vendor Account & Responsibilities** * Vendors must register with accurate business details * You are responsible for all activities under your account and your clients’ usage * You must ensure your end-users comply with Flowzap and Meta policies * Flowzap is not liable for misuse by your customers or sub-users --- ## **4. Acceptable Use Policy** As a Vendor, you agree NOT to: * Send spam, illegal, or abusive content via the platform * Sell or distribute services for unlawful activities * Violate WhatsApp, Meta, or third-party policies * Use automation tools for fraudulent purposes * Attempt unauthorized access or system manipulation Violation may result in immediate suspension or termination without notice. --- ## **5. Pricing, Payments & Commissions** * All pricing is in INR (₹), excluding applicable taxes * Vendors must maintain minimum wallet/recharge balance * White-label or reseller plans are billed in advance * No refunds once services or credits are activated Failure to maintain balance may result in service interruption. --- ## **6. GreenTick & Verification Services** * Vendors may request WhatsApp Business verification for clients * Approval is solely controlled by Meta; no guarantees * All fees for verification services are non-refundable --- ## **7. Data & Client Management** * Vendors are responsible for client data collected and processed * Proper user consent must be obtained before messaging * Flowzap may process data for system operations and service delivery --- ## **8. White-Label & Branding** * Vendors using white-label services can apply custom branding * You may not claim ownership of Flowzap core technology * Reselling must comply with ethical business practices --- ## **9. Intellectual Property** * All software, systems, and branding belong to Flowzap * Vendors receive limited rights to use and resell services * Copying, modifying, or reverse-engineering is prohibited --- ## **10. Third-Party Integrations** * Services rely on Meta and other third-party platforms * Flowzap is not responsible for their downtime or policy changes * Vendors must follow third-party compliance rules --- ## **11. Service Availability** * We aim for high uptime but do not guarantee uninterrupted services * Maintenance or external issues may affect performance * No liability for losses due to downtime --- ## **12. Limitation of Liability** * Flowzap is not liable for indirect or business losses * Liability is limited to payments made in the last 12 months We are not responsible for: * Vendor client misuse * GreenTick rejection * Policy violations by vendor or end-users --- ## **13. Indemnification** You agree to indemnify Flowzap against claims arising from: * Vendor misuse of platform * Client violations under your account * Breach of laws or platform policies --- ## **14. Termination** * Vendors may terminate services anytime * Flowzap may suspend/terminate accounts for violations or non-payment * Data may be removed after termination --- ## **15. Governing Law** * Governed by the laws of India * Jurisdiction: Delhi courts * Arbitration may apply before legal proceedings --- ## **16. Changes to Terms** We may update these Terms at any time. Continued use of services means acceptance of updated terms. --- ## **17.
